CONSENT TO JURISDICTION CLAUSE

Consent to jurisdiction clause are intended to enable one party to the contractual negotiations to dictate and bind all the parties to a particular jurisdiction for purposes of resolving legal matters. Whereas the other parties must agree to such specification of the legal jurisdiction for court resolutions, it tends to fall to that party which has the greatest influence and can secure its favoured jurisdiction. Such contractual controls are particularly important in international arrangements that span multiple jurisdictions (countries).

This Agreement shall be deemed a contract made under the laws of the State of California and all disputes, claims, or controversies arising out of this Agreement, or the negotiation, validity or performance hereof or the transaction contemplated herein, shall be construed under and governed by the laws of such state, without giving effect to its conflicts of law principles.
